These Terms of Service ("Terms") govern your access to and use of My Social Secretary, including our website and iOS/Android applications (together, the "Service"), operated by My Social Secretary ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a member account. By registering, you certify that you meet this requirement and that you will use the Service in compliance with all applicable laws.
You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to provide accurate information when registering and to keep it up to date. We support two account types:
We reserve the right to suspend or terminate any account, at any time, for violation of these Terms or for any other reason at our discretion.
3.1 Ownership and license. You retain ownership of the content you create or upload through the Service — events, trips, lists, polls, messages, photos, and similar material ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display it solely for the purpose of operating and providing the Service to you and the people you invite or share it with.
You are responsible for Your Content and for ensuring you have the right to share it, including any contact information about other people that you add to the Service (see Section 4).
3.2 Content guidelines. Because the Service includes free-text fields — event messages, trip messages, RSVP responses, custom RSVP question answers, and poll suggestions — you agree not to post content that:
We may remove content that violates this section and may suspend or terminate accounts that repeatedly or seriously violate it.
If you add friends, import a contact spreadsheet, or invite guests to an event, trip, or list, you represent that you have the right to share that person's name, email, and/or phone number with us for the purpose of sending invitations and coordinating the event or trip. Do not upload contact information for people who have asked not to be contacted, or in violation of any law.

The Service offers optional AI-assisted features (for example, generating event ideas or attire descriptions), powered by OpenAI. The details you provide to an AI feature are sent to OpenAI to generate a response. Under OpenAI's standard API terms, data submitted through the API is not used to train OpenAI's models. AI-generated content is provided for inspiration only, may be inaccurate or unsuitable for your needs, and should be reviewed before you rely on it. Do not include sensitive personal information about yourself or others in an AI prompt. We are not responsible for the accuracy of AI-generated suggestions.
The Service allows you to optionally connect third-party accounts, including Google Calendar, Gmail (for email import), Splitwise, and Stripe. Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service, and connecting an integration does not make that provider a party to these Terms.
The Service may allow users to record and settle shared expenses using Stripe as the payment processor. We act only as a facilitator connecting the parties to a settlement; we are not a bank, money transmitter, or party to the underlying transaction between users. Payment processing, refunds, and disputes related to a specific charge are subject to Stripe's terms. We are not responsible for a user's failure to pay or settle an amount owed to another user.
The Service is a coordination tool. We do not guarantee that invitations or notifications will be delivered or seen, that guests will respond accurately, that an event or trip will occur as planned, or that information submitted by other users (including RSVP responses, dietary information, or item claims) is accurate. You are responsible for confirming important details directly with your guests or hosts.
You may stop using the Service and delete your account at any time from your profile settings. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms, creates risk or legal exposure for us, or for any other reason at our discretion. Sections of these Terms that by their nature should survive termination (including Sections 3, 4, 8, 11, 12, 13, and 14) will survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR USER-GENERATED CONTENT, OR FOR INTERACTIONS, DISPUTES, OR TRANSACTIONS BETWEEN USERS, INCLUDING AT EVENTS OR TRIPS COORDINATED THROUGH THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY LAW, MY SOCIAL SECRETARY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
You agree to indemnify and hold harmless My Social Secretary and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.
YOU AND MY SOCIAL SECRETARY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding.
This arbitration agreement does not apply to claims for injunctive relief regarding intellectual property, or to claims that cannot be subject to mandatory arbitration under applicable law. If any part of this section is found unenforceable, the rest of this section will still apply, except that if the class-action or representative-action waiver above is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than in arbitration.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles, unless otherwise required by applicable local law.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
